In the US, a market where small capitalisation stocks (and some large capitalisation stocks as well), shell companies, inactively traded and unregistered stocks trade. This refers to any transaction which is made outside of a regulated and organised exchange. This means, inter alia, that due performance is not guaranteed beyond the means of the parties to the transaction, and that the transaction may be difficult to renegotiate in a secondary market. OTC deals are usually made over the telephone rather than over a counter.
